NetEase Announces ADS Ratio Change

HANGZHOU, China, Sept. 18, 2020 — NetEase, Inc. (NASDAQ: NTES and HKEX: 9999, “NetEase” or the “Company”), one of China’s leading internet and online game services providers, today announced that it will change the ratio of its American depositary shares (“ADSs”), representing ordinary shares, from the current one (1) ADS for every twenty-five (25) ordinary shares to one (1) ADS for every five (5) ordinary shares.

From the perspective of an ADS holder, the ADS ratio change has the same effect as a five-for-one ADS split, and NetEase ADS holders at the close of business, New York time, on September 30, 2020 will be entitled to receive four additional ADSs for every ADS held, effective October 1, 2020 at the close of business. There will be no change to NetEase’s ordinary shares, and no action by ADS holders is required to effect the ratio change. In addition, existing ADSs will continue to be valid and will not have to be exchanged for new ADSs. 

The effect of the ratio change on the ADS trading price on the NASDAQ Global Select Market is expected to take place on October 2, 2020.

The register held by the Bank of New York Mellon, the depositary, will close for issuances and cancellations of ADSs on the close of business, New York time, on September 29, 2020 and is expected to reopen on October 6, 2020.

58.com Announces Completion of Merger

BEIJING, Sept. 18, 2020 — 58.com Inc. (NYSE: WUBA) ("58.com" or the "Company"), China’s largest online market place for classifieds, today announced the completion of the merger (the "Merger") with Quantum Bloom Company Ltd ("Merger Sub"), a wholly-owned subsidiary of Quantum Bloom Group Ltd ("Parent"), pursuant to the previously announced agreement and plan of merger, dated as of June 15, 2020 (the "Merger Agreement"), among the Company, Parent and Merger Sub. As a result of the Merger, the Company became a wholly-owned subsidiary of Parent and will cease to be a publicly traded company.

In accordance with the terms of the Merger Agreement, which was approved by the Company’s shareholders at an extraordinary general meeting held on September 7, 2020, each Class A ordinary share, par value US$0.00001 per share, of the Company (each a "Class A Share") and each Class B ordinary share, par value US$0.00001 per share, of the Company (each a "Class B Share," and together with each Class A Share, collectively the "Shares") issued, outstanding and not represented by American depositary shares of the Company (each, an "ADS," representing two Class A Shares) immediately prior to the effective time of the Merger (the "Effective Time"), other than the Excluded Shares and the Dissenting Shares (each as defined in the Merger Agreement), has been cancelled and ceased to exist, in exchange for the right to receive US$28.00 in cash without interest, and each outstanding ADS, other than ADSs representing Excluded Shares, together with each Share represented by such ADSs, have been cancelled in exchange for the right to receive US$56.00 in cash without interest (the "Merger Consideration").

Registered shareholders immediately prior to the Effective Time who are entitled to the Merger Consideration will receive a letter of transmittal and instructions on how to surrender their Shares in exchange for the Merger Consideration and should wait to receive the letter of transmittal before surrendering their Shares. Payment of the Merger Consideration (less an ADS cancellation fee of US$0.05 per ADS), without interest and net of any applicable withholding taxes, will be made to holders of ADSs as soon as practicable after Citibank, N.A., the ADS depositary, receives the aggregate Merger Consideration payable to holders of ADSs from the paying agent.

The Company also announced today that it requested that trading of its ADSs on the New York Stock Exchange (the "NYSE") be suspended as of September 18, 2020. The Company requested that the NYSE file a Form 25 with the Securities and Exchange Commission (the "SEC") notifying the SEC of the delisting of its ADSs on the NYSE and the deregistration of the Company’s registered securities. The deregistration will become effective 90 days after the filing of the Form 25 or such shorter period as may be determined by the SEC. The Company intends to suspend its reporting obligations under the Securities Exchange Act of 1934, as amended, by promptly filing a Form 15 with the SEC. The Company’s obligation to file with the SEC certain reports and forms, including Form 20-F and Form 6-K, will be suspended immediately as of the filing date of the Form 15 and will cease once the deregistration becomes effective.

‘The Three-body Problem’ × Netflix: Beyond sci-fi and nations

BEIJING, Sept. 16, 2020 — A news report by China.org.cn on the transnational adaption of "The Three-body Problem":

 

On September 1st, Netflix, the world’s leading streaming service, announced plans to bring an acclaimed Chinese sci-fi trilogy "The Three-body Problem" to the small screen. D.B. Weiss and David Benioff, the "Game of Thrones" showrunners will tackle this adaptation. Liu Cixin, author of the trilogy, and Ken Liu, the English translator, will serve as consulting producers.

"The Three-body Problem" is the first Asian novel to win a Hugo Award for Best Novel. With millions of fans around the world, there is much anticipation for a TV adaptation.

However, since Netflix announced its plan, concern has outweighed excitement. Given the controversial ending to "Game of Thrones," many are skeptical of Benioff and Weiss’s ability for adaptation. Meanwhile, as the books delve deep into Chinese culture and history, some readers outside of China are worried that Netflix might "westernize" the story.

The trilogy tells the clash between humans and aliens from Trisolaris, a doomed planet with three suns, orbiting in an unstable state of three-body problem in classical mechanics. After intercepting signals from Earth, the aliens paralyze Earth’s advancement of science and begin their invasion toward Earth. In response, humans empower Wallfacers to fight against the aliens. Liu Cixin said that he set out to tell a story that "transcends time and the confines of nations, cultures and races; one that compels us to consider the fate of humankind as a whole."

In the novel, all humans share the challenge for their fate, and in reality, such conundrum remains. Today, our Trisolaris threat is the COVID-19 pandemic; in the future, it could take other forms. What will remain constant is that humanity share weal and woe; in no way could mankind survive and prosper via confrontation and separation.

Facing common challenges, all humans should stand together. As for where the benefits coincide, people should all the more collaborate for win-win outcomes.

Despite the many uncertainties of the Netflix adaptation, the company is better-suited compared to its fledgling Chinese counterparts. For example, it has a good track record of adapting source material from Japan and South Korea. The transnational adaption of "The Three-body Problem" is a marriage between superb storytelling and superior producing techniques. Literary masterpieces are the common treasure for all humanity, and great international adaptation should be encouraged, so as to make them accessible for more people around the world.

The real message here goes beyond the trilogy or literature. Cooperation should neither be restricted within national borders, nor politicized. All countries should seek common development, and secure a better future for mankind.

iChongqing: 2020 Smart China Expo Online Opens in Chongqing

CHONGQING, China, Sept. 11, 2020 — The 2020 Smart China Expo Online (SCE OL) will be held online to ensure epidemic prevention and control from September 15th to 17th, and deliver through a series of summits, exhibitions, contests, forums and releases.

Singapore’s Ministry of Trade and Industry (MTII) is an event organizer this year. Singapore, a guest of honor at the 2019 SCE, serves as the co-host country this year.

Online and Offline, Holographic Projection

The opening ceremony will be broadcast live on September 15th through the official internet platform. “Nobel Prize and Turing Award laureates, heads of international organizations, representatives of foreign governments, and mayors of Chongqing’s sister cities will be addressing the SCE virtually via holographic projection technologies.” said Chen Jinshan, director of the SCE’s organizing committee and the city’s economic and information commission.

On the official website, there will be six virtual exhibition areas called Chongqing Online, Smart Products, Smart Applications, Smart Technology, Smart Products and Regional Cooperation. SCE OL also has an offline presence in the form of two small-scale boutique pavilions in the Lijia Intelligent Park Chongqing, called Smart Manufacturing Powerhouse and Renowned Smart City.

Smart Industry Participation and Direction

At present, over 500 domestic and foreign heavyweight guests have been invited to participate in the conference through various forms. Over 300 industry giants, including members of the Fortune 500 worldwide, are expected to participate in the exhibition online. More than 300 world-renowned and leading technology companies will exhibit online with their virtual modeling technology, while cutting edge industry will participate in 41 forums and 17 competitions. There will be 16 offline and 100 online releases to showcase the latest achievements in new technology, as well as new products and models in smart industry.

Leading trends in technology

This year SCE OL continues to lead trends in technology. AR, MR, XR, and other technologies are widely used. The online exhibition platform uses visual guides, flat video-on-demand, live broadcasts, and many other innovative technologies.
