JinkoSolar Announces At-The-Market Offering of ADSs

SHANGRAO, China, Dec. 16, 2020 — JinkoSolar Holding Co., Ltd. (NYSE: JKS) (the "Company," or "JinkoSolar"), one of the largest and most innovative solar module manufacturers in the world, today announced that it has filed a prospectus supplement to sell up to an aggregate of US$100,000,000 of its American depositary shares ("ADSs"), each representing four ordinary shares, through an at-the-market equity offering program. The ADSs will be offered through Credit Suisse and Barclays as sales agents.

Sales, if any, of the ADSs under the at-the-market equity offering program will be made from time to time, at the Company’s discretion, by means of ordinary broker transactions on or through the New York Stock Exchange (the "NYSE") or other markets for its ADSs, sales made to or through a market maker other than on an exchange, or otherwise in negotiated transactions at market prices prevailing at the time of sale or at negotiated prices, or as otherwise agreed with the sales agents. JinkoSolar intends to use the net proceeds from the sales of its ADSs for its production capacity expansion and other general corporate purposes. The production capacity expansion will be conducted mainly through Jiangxi Jinko, a 73.3% owned subsidiary of the Company in China, and therefore certain amount of the net proceeds from this offering will be transferred to Jiangxi Jinko in the form of intercompany loan. The intercompany loan will be made for up to three years at an interest rate equal to the then U.S. dollar LIBOR for one-year term loans plus 200 basis points.

Delta’s POD Data Center Solution Enables Vietnam’s First Uptime TCCF TIER III-Certified Data Center for Hanoi Telecom’s Subsidiary HTC-ITC

TAIPEI, Dec. 16, 2020 — Delta, a global leader in power and thermal management solutions, today announced the successful implementation of its energy-saving POD (Point of Delivery) data center solution to enable Vietnam’s first Uptime TCCF (Tier Certification of Constructed Facility) TIER III-certified data center for HTC-ITC, a subsidiary of Hanoi Telecom. The TIER III certification by the U.S.-based Uptime Institute entails an annual uptime of 99.982% for this newly-implemented data center. This IT facility is also expected to achieve an eco-friendly high-efficiency-grade(1) annual power use effectiveness (PUE) value as low as 1.4 through the support of Delta’s high-efficiency uninterruptible power supply (UPS) systems, in-row precision cooling, environmental monitoring platform, racks, accessories, and the Data Center Infrastructure Monitoring (DCIM) system for comprehensive and remote control.

HTC-ITC’s new data center, located in the Hoa Lac High-Tech Zone occupies 750 square meters and has a total power capacity of 750kW original requirement + 750kW for redundant power protection, in line with Uptime’s TIER III 2N architecture specifications. This data center is expandable to 900 racks in total. Delta’s highly modular and scalable POD data center solution provides the ideal flexibility and reliability to achieve that rigorous qualification.  Unlike TIER I and TIER II, the Uptime TIER III Constructed Facility Certification (TCCF)-certified data centers do not allow shutdowns during maintenance or replacement. For example, in addition to the 99.982% annual uptime requirement, float voltage on the isolated equipment must be close to 0 while no hotspots with a temperature over 25°C are allowed. The data center of HTC-ITC has reached 52 tests to pass the TCCF certification, the first time ever for a data center built in Vietnam.  

Delta’s energy-saving POD data center solution also provides integral support for this new IT facility to achieve the expected annual PUE of 1.4. The solution combines the DPH series modular UPS system and the in-row precision cooling system with variable fan speed control to facilitate hot aisle containment or cold aisle containment architectures. The DCIM platform to enable comprehensive and remote monitoring and control of entire and multiple data centers; as well as racks and accessories to simplify implementation processes for enhanced efficiency and performance. Moreover, the POD solution offers a fully modular design that helps customers with a pay-as-you-grow concept and rapid installation process to meet the rapidly growing needs of high-speed 5G networks and IoT applications.

Validated results from numerous PoCs (proof of concepts) increased sales by 5.27[1] overall, up to a maximum of over 50%, as well as simultaneously reducing replenishment trips and improving operational productivity.

HIVERY and JR East Water Business have been collaborating since 2017, leveraging HIVERY’s latest AI technology to optimize product assortment and column space for individual vending machines in Japan. During the winter of 2019, the results of HIVERY Enhance showed an overall increase in sales volume by 5.27%, up to a maximum of over 50%. Furthermore, given labor storages due to a declining population, there has been growing pressure to improve operational productivity within the Japanese vending industry. HIVERY Enhance enabled JR East Water Business to streamline operations and reduce replenishment trips by automatically recommending the optimal product assortment and quantity for their vending machines. Based on this success, JR East Water Business has agreed to rollout HIVERY Enhance across 6,000 vending machines on their train stations for East Japan Railway – a first in Japan.

Until now, product assortment selection had been decided by individual operators (drivers) who are responsible for replenishing the vending machines at their designated locations. Given those decisions have been based on the operator’s accumulated experience and intuition over many years, it has been an ongoing challenge to transfer that knowledge to new operators and maintain a level of quality. HIVERY Enhance leverages the power of AI and JR East Water Business’ point of sales (POS) data, to automatically determine which products need to be stocked in which vending machine, as well as the optimal timing to swap products for individual machines. This enables any operator to efficiently make the right product assortment choices that will lead to a profitable outcome.

HIVERY Enhance helps to:

  1. Select products that are likely to sell well – By analyzing the vast amount of sales data from the full fleet of vending machines, it identifies patterns in the sales data and identifies products that are likely to sell well in any particular location.
     
  2. Optimize product assortment – By understanding the demand for individual products and the effects of cannibalization of demand between products in each location, it can determine which products should be inserted and which should be taken out, to lead to the optimal outcome.
     
  3. Reduce replenishment trips – From the demand forecasts of products in any location, it can calculate the number of days before each product is likely to go out of stock and recommend the optimal quantity and column allocation to maximize the time between replenishment trips, thereby reducing labor costs.
     
  4. Optimizing a group of vending machines – Rather than only focusing on individual vending machines, it can also assess a group of banked vending machines in the same area at the same time, and optimize the products for the entire area as if it were one large vending machine.

By ingesting vast arrays of data and incorporating intricate operational rules as well as physical and business constraints into its algorithm, HIVERY Enhance can instantaneously provide executable recommendations for the optimal product assortment and column configurations for both an individual as well as a group of vending machines.
