Gridsum Holding Inc. to Hold Extraordinary General Meeting of Shareholders

BEIJING, Jan. 22, 2021 — Gridsum Holding Inc. ("Gridsum" or the "Company") (NASDAQ:GSUM), a leading provider of cloud-based big-data analytics and artificial intelligence ("AI") solutions in China, today announced it has called an extraordinary general meeting of shareholders (the "EGM"), to be held on February 22, 2021 at 10:00 a.m. (Beijing time), at Gridsum, South Wing, High Technology Building, No. 229 North 4th Ring Road, Haidian District, Beijing 100083, People’s Republic of China, to consider and vote upon, among other things, the proposal to authorize and approve the previously announced agreement and plan of merger, dated September 30, 2020 (the "Merger Agreement"), among the Company, Gridsum Corporation, an exempted company with limited liability incorporated under the laws of the Cayman Islands ("Parent"), and Gridsum Growth Inc., an exempted company with limited liability incorporated under the laws of the Cayman Islands and a wholly-owned subsidiary of Parent ("Merger Sub"), the plan of merger (the "Plan of Merger") required to be filed with the Registrar of Companies of the Cayman Islands in connection with the Merger (as defined below), and the transactions contemplated by the Merger Agreement and the Plan of Merger, including the Merger.

Pursuant to the Merger Agreement and the Plan of Merger, at the effective time of the Merger, Merger Sub will merge with and into the Company, with the Company continuing as the surviving company and becoming a wholly-owned subsidiary of Parent (the "Merger"). If the Merger is completed, the Company will become a privately-held company, and, as a result of the Merger, the Company’s American depositary shares ("ADSs"), each representing one class B ordinary share of the Company, par value US$ 0.001 per share (the "Class B Ordinary Shares"), will no longer be listed on the NASDAQ Global Select Market and the Company’s American depositary shares program will terminate. In addition, the ADSs and the Class B Ordinary Shares represented by the ADSs will cease to be registered under Section 12 of the Securities Exchange Act of 1934 following the completion of the Merger.

The Company’s board of directors (the "Board"), acting upon the unanimous recommendation of a special committee of Board, composed solely of directors who are unaffiliated with any person participating as a buyer or rollover securityholder in the Merger or any member of the management of the Company, authorized and approved the execution, delivery and performance of the Merger Agreement, the Plan of Merger, and the consummation of the transactions contemplated thereby, including the Merger, and resolved to recommend that the Company’s Shareholders vote FOR, among other things, the proposal to authorize and approve the Merger Agreement, the Plan of Merger and the consummation of the transactions contemplated thereby, including the Merger.

Shareholders of record at the close of business in the Cayman Islands on February 8, 2021 are entitled to attend and vote at the EGM or any adjournment thereof. ADS holders as of the close of business in New York City on January 27, 2021 will be entitled to instruct Citibank, N.A., the ADS depositary, to vote the Class B Ordinary Shares represented by the ADSs at the EGM.

The China International Import Expo spurs global cooperation in intelligent industry and information technology


SHANGHAI, Jan. 15, 2021 — The China International Import Expo (CIIE), the world’s largest import-themed expo, will be held for the fourth time in Shanghai from November 5 to 10, 2021.

Thousands of exhibitors and hundreds of thousands of buyers from across the globe have descended on Shanghai in the past three years to reap the benefits offered by the expo. Along with the newly added subsection, a special committee for the integrated circuit industry will also be established to serve as an advisory body, a move aligned with the expo’s aim to become more specialized in different industries.

Previously, the CIIE established a special committee on industrial digital transformation, which is committed to integrating the whole industrial chain of industrial digital transformation and offering advanced digital transformation solutions to enterprises in the field of industrial production to help them increase efficiency and improve quality.

These features include Variable Refresh Rate (VRR), Auto Low Latency Mode (ALLM) and Quick Frame Transport (QFT); and when combined with new 4K and 8K displays, HDR and eARC immersive audio, HDMI 2.1 brings the best of home entertainment to life. The new Fixed Rate Link (FRL) mode of HDMI 2.1 ensures much more robust video delivery over the cable, by using a robust forward error correction scheme, combined with a link training protocol which adapts the link rate, if needed.

Another year of big accomplishments for the HDMI Forum

"The HDMI Forum didn’t rest after releasing the 2.1 specification and 2020 was one of its busiest years ever," said David Glen of Advanced Micro Devices, Inc. and President of the HDMI Forum. "We launched the Ultra High Speed HDMI Cable Certification Program (UHS Program) and now these UHS Cables are available in the market to enable full the 48Gbps performance of HDMI 2.1. We also released the Compliance Test Specification for Active Cables, and end-users will shortly be able to purchase Active Optical Cables that support longer length installations, an important step in completing the HDMI 2.1 ecosystem." Regarding the future he added, "In addition to the great products released in 2020, we’re expecting many new products in 2021 supporting the enhanced features of HDMI 2.1."

The mandatory UHS Program ensures that quality Ultra High Speed HDMI® Cables reach the market and support 4K and 8K video, HDR, VRR, eARC and all other HDMI 2.1 features, and cables are required to affix an Ultra High Speed HDMI Certification Label to each package notifying consumers of the certification status of the product. These Certified cable designs must pass rigorous testing requirements for 48G signal performance and pass new state-of-the-art EMI tests designed to minimize interference with Wi-Fi, Bluetooth and other radio frequencies.

The HDMI Forum is also promoting HDMI Cable Power. With this feature, active HDMI Cables can now be powered directly from the HDMI Connector, without attaching a separate power cable. This makes attaching and using active HDMI Cables as easy as using passive, wired HDMI Cables.

Shipments of Premium High Speed HDMI Cables grow along with expansion of 4K content distribution

With the explosion of 4K content, this cable is vital to both the consumer and commercial sectors connecting 4K cable, satellite and IPTV set top boxes to TVs. It is specified globally for use by service providers for in-home installations. It also requires packaging to display the Premium HDMI Cable Certification Label for added verification of compliance and to prevent counterfeiting; this cable certification program is also administered by HDMI LA.

HSINCHU, , Dec. 29, 2020 — AI, 5G, deep learning, and biomedical electronics are reshaping industries and experiences in the semiconductor industry. To address these key trends, the Industrial Technology Research Institute (ITRI) will host the 2021 International Symposia on VLSI Technology, Systems and Applications (VLSI-TSA) and Design, Automation and Test (VLSI-DAT) on April 19-22, 2021 at the Ambassador Hotel, Hsinchu, Taiwan. Experts from top companies and prestigious academic institutions, including TSMC, IBM, Hitachi, Stanford University, Massachusetts Institute of Technology (MIT), The University of Tokyo, and Olin College of Engineering will share their insights and latest research findings on 5G and AI product innovations, techniques of efficient deep learning, in-memory computing, DTCO and advanced packaging, hardware security, biomedical applications, and low dimensional materials and devices.

The VLSI-TSA and VLSI-DAT symposia were first held in 1983, hosting premiere conferences in semiconductor-related fields and attracting up to 1,000 participants every year. VLSI-TSA and VLSI-DAT provide a unique opportunity to network leading experts worldwide and allow participants to explore advanced technologies in the semiconductor industry. In the 2021 event, six esteemed experts will give keynote speeches. Prof. Evan Reed from Stanford University will discuss the success stories of data mining and machine learning for electronic materials selection. Dr. Lipen Yuan from TSMC will explore the technology innovations that will enable continued scaling, including 3D stacking and other advanced packaging trends. Dr. Masanao Yamaoka from Hitachi will introduce the CMOS annealing machine and present how it solves combinatorial optimization problems. Prof. Song Han from MIT will talk about "Putting AI on Diet" and focus on techniques to reduce the computation recourse, human resource, and data resource for deep learning. Prof. Takao Someya from The University of Tokyo will review recent progresses of stretchable thin-film electronics for applications to robotics and wearables and address the future prospect of smart skins. Prof. Richard K. Miller, President Emeritus of Olin College of Engineering, will share his insights into remaking engineering education for the innovation economy.

The 2021 VLSI-TSA and VLSI-DAT symposia will be held in a hybrid format, incorporating an in-person conference and a virtual platform with on-demand presentations. The in-person conference will be held on April 19-22, 2021 at the Ambassador Hotel, Hsinchu, Taiwan. Following the physical event, there will be a virtual conference providing online access to on-demand video presentations from April 23 to May 22, 2021. Over 150 outstanding papers will be presented during the symposia.
