Color Star Technology Announces Receipt of Nasdaq Continued Listing Deficiency Notice

NEW YORK, Oct. 23, 2020 — Color Star Technology Co., Ltd. (Nasdaq CM: CSCW) (the "Company", or "Color Star"), a company engaged in the businesses of providing online and offline paid knowledge services for the media, entertainment and culture industries globally, today announced on October 16, 2020, the Company received a notification letter (the "Notification") from Nasdaq Listing Qualifications advising the Company that based upon the closing bid price for the Company’s ordinary shares for the past 30 consecutive business days, the Company no longer met the minimum $1.00 per share Nasdaq continued listing requirement set forth in Nasdaq Listing Rule 5550(a)(2). The Notification also stated that Under Rule 5810(c)(3)(A), the Company would be provided 180 calendar days, or until April 14, 2021, to regain compliance with the foregoing listing requirement. To do so, the bid price of the Company’s ordinary shares must close at or above $1.00 per share for a minimum of 10 consecutive business days prior to that date.

In the event the Company does not regain compliance by the first compliance deadline, the Company may be eligible for additional time to regain compliance. To qualify, the Company will be required to meet the continued listing requirement for market value of publicly held shares and all other initial listing standards for The Nasdaq Capital Market, with the exception of the bid price requirement, and will need to provide written notice of its intention to cure the deficiency during the second compliance period, by effecting a reverse stock split, if necessary. If the Company meets these requirements, the Nasdaq staff will inform the Company that it has been granted an additional 180 calendar days. However, if it appears to the Nasdaq staff that the Company will not be able to cure the deficiency, or if the Company is otherwise not eligible, the staff will provide notice that its securities will be subject to delisting.

The Company provides no assurance that its ordinary shares will trade at levels necessary to regain and maintain compliance with the above-referenced bid price rule before the compliance deadline. The Company intends to continue to monitor the bid price for its ordinary shares. If the Company’s ordinary shares do not trade at a level that is likely to regain compliance with the Nasdaq requirements, the Company’s Board of Directors will consider other options that may be available to achieve compliance.

Kungl. Vetenskapsakademien: The Prize in Economic Sciences 2020: Their theoretical discoveries have improved auctions in practice

MALMOE, Sweden, Oct. 12, 2020

This year’s Laureates, Paul Milgrom and Robert Wilson have studied how auctions work. They have also used their insights to design new auction formats for goods and services that are difficult to sell in a traditional way, such as radio frequencies. Their discoveries have benefitted sellers, buyers and taxpayers around the world.

The Royal Swedish Academy of Sciences has decided to award the Sveriges Riksbank Prize in Economic Sciences in Memory of Alfred Nobel 2020 to Paul R. Milgrom, Stanford University, USA and Robert B. Wilson, Stanford University, USA, "for improvements to auction theory and inventions of new auction formats".

People have always sold things to the highest bidder, or bought them from whoever makes the cheapest offer. Nowadays, objects worth astronomical sums of money change hands every day in auctions, not only household objects, art and antiquities, but also securities, minerals and energy. Public procurements can also be conducted as auctions.

Using auction theory, researchers try to understand the outcomes of different rules for bidding and final prices, the auction format. The analysis is difficult, because bidders behave strategically, based on the available information. They take into consideration both what they know themselves and what they believe other bidders to know.

Robert Wilson developed the theory for auctions of objects with a common value – a value which is uncertain beforehand but, in the end, is the same for everyone. Examples include the future value of radio frequencies or the volume of minerals in a particular area. Wilson showed why rational bidders tend to place bids below their own best estimate of the common value: they are worried about the winner’s curse – that is, about paying too much and losing out.

Paul Milgrom formulated a more general theory of auctions that not only allows common values, but also private values that vary from bidder to bidder. He analysed the bidding strategies in a number of well-known auction formats, demonstrating that a format will give the seller higher expected revenue when bidders learn more about each other’s estimated values during bidding.

Over time, societies have allocated ever more complex objects among users, such as landing slots and radio frequencies. In response, Milgrom and Wilson invented new formats for auctioning off many interrelated objects simultaneously, on behalf of a seller motivated by broad societal benefit rather than maximal revenue. In 1994, the US authorities first used one of their auction formats to sell radio frequencies to telecom operators. Since then, many other countries have followed suit.

"This year’s Laureates in Economic Sciences started out with fundamental theory and later used their results in practical applications, which have spread globally. Their discoveries are of great benefit to society," says Peter Fredriksson, chair of the Prize Committee.

iHuman Inc. Announces Pricing of Initial Public Offering


BEIJING, Oct. 9, 2020 — iHuman Inc. (NYSE: IH) ("iHuman" or the "Company"), a leading childhood edutainment company in China, announced today the pricing of its initial public offering of 7,000,000 American Depositary Shares ("ADSs"), each representing five class A ordinary shares of the Company, at a public offering price of US$12.00 per ADS. The ADSs are expected to begin trading on the New York Stock Exchange on October 9, 2020 under the ticker symbol "IH." The offering is expected to close on October 14, 2020, subject to customary closing conditions.

The Company has granted the underwriters an option, exercisable within 30 days from the date of the final prospectus, to purchase up to an aggregate of 1,050,000 additional ADSs. The total gross proceeds of the offering, before deducting underwriting discounts and commissions and offering expenses payable by iHuman, are expected to be US$84.0 million if the underwriters do not exercise their over-allotment option, and US$96.6 million if the underwriters choose to exercise their over-allotment option in full.

Second Citizenship from St Kitts and Nevis Opens Doors to British Education in Times of Crisis

LONDON, Oct. 9, 2020 — Despite predictions that the pandemic would cause a decline in international students, the United Kingdom is set for a record increase. Interestingly, enrolments from non-EU international students went up 9 per cent this academic year. According to Jimmy Beale, the founder of The English Education, a placement consultancy that advises international parents about independent schools in the UK, Chinese students make up much of the international student body in Britain. A Chinese education agency survey also found that the UK surpassed the US as a destination of choice for students due to growing tensions between China and the US.

Beale, whose clients are often admitted to top tier institutions like Westminster and Harrow, says that all international boarding pupils who do not have UK passports require a Tier 4 Student Visa. Although the process is simple for students, parents had difficulties visiting their children as embassies in certain countries were closed. 

"If you are a St Kitts and Nevis citizen, the process of sending your child abroad for schooling is much simpler," says Natasha Jones, a legal assistant at CS Global Partners. "You are exempt from requirements to prove knowledge of the English language, you do not need to have a tuberculosis test if you reside in St Kitts and Nevis, and you are exempt from the requirement to self-isolate for 14 days upon arrival in the UK if you have spent the last 14 days in St Kitts and Nevis. Family members [with St Kitts and Nevis citizenship] can also easily visit their children who are studying in the UK because of their visa-free access," she added.

Jones also highlighted St Kitts and Nevis’ status as a Commonwealth country and the benefit that it brings. "In the UK, Commonwealth citizens are eligible for various scholarships for master’s degrees and PhD courses which often cover tuition fees, living allowance, and travel," she said.

PSI and SQA’s Skills for English™ is now a UKVI-approved Secure English Language Test

LONDON, Oct. 2, 2020 — PSI Services (PSI), a global provider of assessment services, leading-edge technology, and talent management solutions and the Scottish Qualifications Authority (SQA), Scotland’s national awarding and accreditation body, today announced that their Skills for English™ language test is now a UKVI-approved Secure English Language Test (SELT).

The approval follows PSI reaching a commercial arrangement with the UK Home Office last year to deliver the SELT for overseas UK visa applicants. Beginning October 12 in China and the rest of the world (outside the UK) later in 2020, applicants will have access to PSI’s fully computer-based testing experience via its global test center network.

Ambow Announces Pricing of $6.0 Million Registered Direct Offering

BEIJING, Oct. 1, 2020 — Ambow Education Holding Ltd. ("Ambow" or the "Company") (NYSE American: AMBO), a leading national provider of educational and career enhancement services in China, today announced that it has entered into definitive agreements with two institutional investors for the issuance of approximately 1,507,538 ADSs (representing 3,015,076 of Class A Ordinary Shares), at a purchase price of $3.98 per ADS, in a registered direct offering. Ambow has also agreed to issue to the investors unregistered warrants to purchase up to an aggregate amount of 603,016 ADSs (representing 1,206,032 Class A ordinary shares). The offering is expected to close on or about October 2, 2020, subject to satisfaction of customary closing conditions.

FT Global Capital, Inc. is acting as the exclusive placement agent for the offering.

The warrants will have a term of three years, be exercisable immediately and have an exercise price of $4.68 per ADS. The warrants have a mandatory forced conversion feature, such that if the VWAP of the ADS trades above $9.36 for 20 consecutive days, subject to customary equity conditions, the Company can force the warrants to be exercised.

The gross proceeds from the offering are expected to be approximately $6.0 million before deducting the placement agents’ fees and other estimated offering expenses. The Company intends to use the net proceeds from the offering for working capital purposes.
